These Terms of Use govern access to and use of otherhuman.ai and any related website operated by Other Human Inc. (“OTHER HUMAN,” “we,” “us,” or “our”).
By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.
1. About OTHER HUMAN
OTHER HUMAN is a creative agency that develops and represents a roster of synthetic talent and digitally produced identities.
Our services may include model licensing, custom model development, creative direction, campaign photography, video, e-commerce content, social content, and related creative services for brands, agencies, and other professional clients.
Certain people, characters, identities, environments, images, and videos presented on the website are synthetic or digitally produced. Unless expressly identified otherwise, they should not be understood as depictions of real individuals.
2. Purpose of the Website
The website presents information about OTHER HUMAN, our roster, creative work, capabilities, and potential services.
Website content is provided for general information, evaluation, and portfolio purposes. It does not constitute a binding offer, quotation, licence, representation agreement, warranty, or commitment to perform services.
Submitting an inquiry or communicating with us does not create a client, partnership, employment, fiduciary, or other professional relationship.
A commercial engagement begins only when the relevant parties enter into a separate written agreement.
3. Client Projects and Licences
Any campaign, commission, production, collaboration, model booking, or content licence is subject to a separate written agreement, proposal, statement of work, estimate, licence, or order confirmation.
Such agreements may address:

No website content may be commercially used without an express written licence from OTHER HUMAN.
If these Terms conflict with a signed client agreement, the signed client agreement controls for that engagement.
4. Ownership
The website and its contents are owned by or licensed to Other Human Inc. and are protected by copyright, trademark, unfair-competition, and other applicable laws.
Protected materials include:

The OTHER HUMAN name, logo, visual identity, and brand system
•
Model names, identities, likenesses, profiles, biographies, and distinctive characteristics
•
Images, videos, animations, designs, graphics, typography, and written content
•
Campaigns, creative treatments, concepts, and portfolio materials
•
Website layouts, interfaces, selection, arrangement, and presentation
•
Code, databases, technology, and technical materials
Third-party names, trademarks, products, and materials remain the property of their respective owners.
Accessing or viewing the website does not transfer ownership or grant any commercial licence.
5. Limited Permission
OTHER HUMAN grants you a limited, revocable, non-exclusive, and non-transferable permission to access and view the website for legitimate personal or internal business-evaluation purposes.
No other right or permission is granted.
6. Prohibited Uses
Without prior written authorization, you may not:

Copy, reproduce, download, publish, distribute, display, sell, sublicense, or commercially exploit website content
•
Use any model, identity, likeness, name, image, video, profile, or creative asset
•
Scrape, crawl, harvest, index, data-mine, or systematically extract website content
•
Use website content to train, fine-tune, test, evaluate, or develop any machine-learning, generative, facial-recognition, biometric, or synthetic-media system
•
Reconstruct, clone, imitate, derive, or create a confusingly similar version of an OTHER HUMAN model or identity
•
Present synthetic content as authentic documentary material or as depicting a real person
•
Falsely imply endorsement, sponsorship, authorization, or affiliation
•
Use website content for defamatory, pornographic, exploitative, discriminatory, deceptive, political, unlawful, or harmful purposes
•
Remove watermarks, metadata, copyright notices, credits, or rights-management information
•
Circumvent security or attempt to access restricted systems
•
Introduce malicious code or interfere with website operation
•
Misrepresent your identity, affiliation, authority, or purpose
•
Violate any applicable law or third-party right
We reserve all rights not expressly granted.
7. Submitted Materials
You represent that you have the legal right to submit any information, brief, reference, image, trademark, document, or other material you provide to us.
You retain ownership of your submitted materials.
You grant OTHER HUMAN permission to review, store, reproduce internally, and share submitted materials with relevant personnel, contractors, or advisers where reasonably necessary to:

Prepare a proposal

Plan or perform an authorized engagement

Maintain appropriate business and legal records
Do not submit confidential or commercially sensitive information until an appropriate confidentiality agreement is in place.
An unsolicited submission does not create a confidentiality obligation. We may independently develop or receive concepts that resemble an unsolicited submission. Reviewing a submission does not restrict us from using independently developed or lawfully received concepts.
8. Portfolio and Third-Party Content
Portfolio materials may contain client names, trademarks, products, campaigns, or other third-party materials.
Such materials belong to their respective owners. Their appearance does not necessarily imply sponsorship, endorsement, ownership, or an ongoing commercial relationship.
9. Website Accuracy and Availability
We aim to present the website accurately, but we do not guarantee that all content is complete, current, error-free, or continuously available.
Roster availability, capabilities, services, and project information may change without notice.
We may modify, restrict, suspend, or discontinue any part of the website at any time.
10. Third-Party Links
The website may contain links to third-party websites, platforms, or services.
Links are provided for convenience and do not constitute endorsement. OTHER HUMAN is not responsible for third-party content, availability, security, accuracy, terms, or privacy practices.

13. Limitation of Liability
To the maximum extent permitted by law, Other Human Inc. and its directors, officers, employees, contractors, licensors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website.
This includes loss of profits, revenue, opportunities, goodwill, data, or business.
To the maximum extent permitted by law, OTHER HUMAN’s total liability arising from use of the website will not exceed CAD $100.
These limitations apply to use of the website. Liability relating to a paid engagement is governed by the applicable written client agreement.
Nothing in these Terms excludes liability that cannot legally be excluded.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Other Human Inc. and its directors, officers, employees, contractors, licensors, and affiliates from claims, liabilities, losses, damages, and reasonable costs arising from:

Your unlawful or unauthorized use of the website
•
Your breach of these Terms
•
Materials you submit
•
Your infringement of another person’s intellectual-property, privacy, publicity, contractual, or other rights
15. Enforcement and Termination
We may restrict or terminate access to the website if we reasonably believe you have:

Violated these Terms
•
Infringed intellectual-property or other rights
•
Threatened website or system security
•
Engaged in unlawful, deceptive, or harmful conduct
We may pursue any remedies available under contract, statute, common law, or equity.
16. Governing Law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Subject to any legal rights that cannot be waived, disputes relating to the website will be submitted exclusively to the courts located in Toronto, Ontario.
17. Changes to These Terms
We may update these Terms periodically.
Updated Terms take effect when posted unless otherwise stated. Continued use of the website after an update constitutes acceptance of the revised Terms.
18. General Provisions
If any provision is found invalid or unenforceable, the remaining provisions will continue in effect.
Failure to enforce a provision is not a waiver.
You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a financing, restructuring, merger, acquisition, sale, or transfer of our business.
These Terms and the Privacy Policy constitute the complete agreement concerning use of the website, except where a separate signed agreement applies.
